1. Introduction

Welcome to BWEALTHICS LLC ("Company", "we", "our", "us"), a specialized provider of accounting, bookkeeping, and data processing services. These Terms and Conditions govern your use of our website located at www.bwealthics.com (the "Website") and the services provided, including but not limited to accounting clean-up, accounting automation, Odoo Accounting training, Odoo Accounting support, accounts receivable and payable management, depreciation services, and related subscription services (collectively, the "Services").

2. Acceptance of Terms

By accessing or using our Services, you agree to be bound by these Terms and Conditions and any terms incorporated by reference herein. If you do not agree to these Terms, you may not access or use our Services.

3. Scope of Services

We offer a variety of accounting and bookkeeping services exclusively to companies located within the United States of America and its Official Territories. Our Services are provided on a subscription basis and are designed to enhance your company's accounting workflows. Services include, but are not limited to:

- Accounting and Bookkeeping

- Data Processing and Accounting Automation

- Odoo Accounting Training and Support

- Management of Accounts Receivable and Payable

- Assets Depreciation

4. Data Management and Security

All sensitive data is processed directly on the user's database. BWEALTHICS LLC does not store, keep backups, or retain copies of the database. The responsibility for securing this information and system rests solely with the customer.  Any sensitive data intended to be used or reviewed by BWEALTHICS LLC, should be transmitted via the Documents App in the customer database.

5. Subscription Terms

Services are offered on a monthly subscription basis. Details regarding subscription fees, renewal policies, and cancellation procedures are provided separately and form an integral part of these Terms.

6. User Responsibilities

Customers are required to adjust their workflows to align with our workflows or Odoo Standard Accounting Workflows. BWEALTHICS LLC shall not be responsible for inaccuracies or issues arising from undisclosed financial information by the customer, including but not limited to bank accounts, credit cards, loans, or sources of income. 

Clients are obligated to provide all necessary transaction details, including receipts, invoices, bank statements, and other pertinent information within the stipulated timelines.

For Odoo Accounting  support, clients must offer clear descriptions of issues and grant the necessary access permissions for troubleshooting.

For the Accounting Setup service, clients are mandated to disclose all financial details, ensuring transparency and accuracy.

7. Transactions and Accounting Practices

We reserve the right to reverse, cancel, or delete any transaction that does not adhere to best accounting practices or follow Odoo accounting standard workflows. Miscellaneous journal entries affecting bank accounts or credit cards without adherence to these standards will not be accepted.

8. Limitation of Liability

BWEALTHICS LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your access to or use of our services or content.

9. Indemnification

You agree to defend, indemnify, and hold harmless BWEALTHICS LLC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your violation of these Terms and Conditions.

10. Jurisdiction

These Terms and Conditions shall be governed by the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Texas.

11. Amendments

We reserve the right to amend these Terms and Conditions at any time. Your continued use of our Services following the posting of changes will constitute your acceptance of such changes.

 12. Payment Terms

All our services including Odoo Accounting Setup, must be prepaid and are billed by the hour. This advance payment is non-refundable and non-transferable and must be used/consumed within the current fiscal year. Specific hourly rates will be detailed in individual sales orders, and these rates are subject to periodic revisions.  

13 . Termination of Services

BWEALTHICS LLC holds the discretion to terminate services under the following circumstances:

Client's refusal to adapt to Odoo workflows.

Non-adherence to industry best practices as recommended by BWEALTHICS LLC.

Display of abusive behavior or language towards BWEALTHICS LLC staff or associates. 

Non-payment of due fees.

Consistent failure to provide necessary information or documentation.

Breach of any terms stipulated in the terms of services.
